Service details, pricing, and timelines will be mutually agreed upon in a written proposal or service agreement.

2. Client Responsibilities

By engaging with Infothela, clients agree to:

  • Provide accurate, up-to-date information and materials needed to carry out marketing services.

  • Respond promptly to requests for feedback or approval.

  • Ensure timely payments as per the agreed billing schedule.

  • Grant necessary permissions and access (e.g., website admin, social media accounts, ad platforms).

  • Maintain confidentiality of credentials and sensitive data shared during the course of service.

3. Payments and Billing

  • All charges and payment schedules will be specified in a formal quotation or agreement.

  • Invoices must be paid as per the agreed-upon terms (e.g., upfront, monthly, milestone-based).

  • Late payments may result in service interruption, late fees, or termination of contract.

  • All payments made to Infothela are non-refundable unless expressly stated in writing.

  • Prices may be subject to GST or applicable taxes as per Indian law.

4. Intellectual Property Rights

  • All creative assets, content, designs, and marketing materials developed by Infothela remain the property of the company until full payment is received.

  • Upon full payment, ownership of final deliverables may be transferred to the client unless otherwise specified.

  • Infothela reserves the right to showcase project work in our portfolio or for marketing purposes, unless a non-disclosure agreement (NDA) is in place.

5. Confidentiality

Infothela is committed to maintaining the confidentiality of all proprietary or sensitive client information. We will not disclose any confidential data to third parties without prior written consent, except as required by law.

6. Termination of Services

Either party may terminate the engagement with 15 days’ written notice. Upon termination:

  • All outstanding fees become immediately payable.

  • Any in-progress work will be paused and billed up to the date of termination.

  • Access to tools, platforms, or accounts managed by Infothela will be revoked.

7. Disclaimers

  • Infothela does not guarantee specific outcomes (e.g., search engine rankings, lead volumes, revenue increases).

  • Performance depends on several external factors, including algorithm updates, competitor activity, and client cooperation.

  • We are not liable for disruptions or losses caused by third-party platforms, hosting providers, or APIs.

8. Limitation of Liability

To the maximum extent permitted by law, Infothela shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, profits, or goodwill. Our total liability will not exceed the amount paid by the client for the specific service giving rise to the claim.

9. Amendments to Terms

Infothela may update these Terms from time to time. All changes will be effective immediately upon posting on our website. Continued use of our services after such changes constitutes acceptance of the revised Terms.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in [Your City], India.
